About the Role
We’re seeking an experienced General Counsel & Company Secretary to join our leadership team and play a pivotal role in shaping corporate governance and legal compliance.
Reporting to the Chief Financial Officer, you’ll provide strategic legal advice, manage legal risk frameworks, and ensure compliance with the Corporations Act and ASX/NZX Listing Rules. Key Responsibilities:
- Manage the Company Secretariat function including overseeing Board and Committee meetings, including agendas, minutes, and governance documentation, shareholder meetings, the AGM, and corporate filings.
- Ensure compliance with statutory obligations, ASX Listing Rules, corporate governance policies, and continuous disclosure requirements.
- Manage legal risk and corporate governance frameworks aligned with international standards.
- Lead and manage the legal team (comprising two senior legal counsels), develop the legal strategy and partner with the operational functions to support strategic initiatives
- Oversee the legal function to ensure the business is provided with expert legal counsel in a broad range of areas including corporate, commercial, employment, consumer, digital and IT, property, sustainability, and retail operations.
- Manage the Group’s intellectual property portfolio including the global trademark portfolio, design and copyright advice and ensuring the Group’s intellectual property interests are adequately protected in commercial arrangements and contracts.
- Consult with regulators, external counsel, and professional advisers.
- Drive shareholder relations and contribute to annual and sustainability reporting.
What We’re Looking For:
- Extensive experience in corporate, commercial, consumer and employment law.
- Proven ability to support a listed organisation (ASX/NZX).
- Strong understanding of the Corporations Act, ASX Listing Rules and governance principles.
- Exceptional stakeholder management and influencing skills.
- Ability to work independently, manage multiple priorities, and deliver under pressure.
Qualifications:

Essential: Tertiary qualification in Law.

Desirable: Postgraduate Diploma in Applied Corporate Governance
